SCAN CLUB – TERMS & CONDITIONS

These Terms govern the Scan Club 36-Month Fixed-Term Membership.
By joining Scan Club, signing the Scan Club Contract, or ticking the acceptance checkbox at checkout, you (“the Customer”) are entering into a legally binding contract.
This includes the Personal Guarantee in Section 18.
1. Definitions
“Membership”
A fixed-term 36-month Scan Club membership.
“Scanner”
The IDDA intraoral scanner provided as subsidised educational equipment.
“Goods”
The scanner and any accessories supplied for educational purposes.
“Contract”
These Terms, together with the Scan Club Membership Contract, accepted digitally.
“Price”
£175 per month + VAT (if applicable), payable for 36 months (£6,300 total).
2. Nature of Scan Club Membership
Scan Club provides:
- Level 7 PGCert in Digital Dentistry
- Online learning platform access
- Annual IDDA Conference ticket
- Training & support
- Use of an IDDA Scanner during the Membership term
The scanner is not sold outright.
Title transfers only after all 36 payments are made.
3. Mandatory 36-Month Term (Non-Cancellable)
By joining Scan Club, you agree that:
- The term is fixed at 36 months
- You must pay all 36 instalments
- Membership cannot be cancelled early
- Stopping or missing payments does not end your liability
- If payments stop, the entire remaining balance becomes immediately due
This operates like a mobile phone/handset subsidy agreement and is fully enforceable.
4. Payment Terms
- £175 per month + VAT (if applicable)
- Payments must be maintained throughout the 36-month term
- If a payment fails, you have 7 days to correct it
If not corrected:
- Membership may be terminated
- The full remaining balance becomes immediately due
- Debt may be passed to Money Claim Online (MCOL) or a recovery service
Time for payment is of the essence.
5. Dispatch of Scanner
The scanner is dispatched only when:
- The Contract is digitally accepted
- First payment has cleared
- Identity details are verified (if needed)
6. Risk, Ownership & Title
- Risk passes on delivery
- Title remains with us until all payments are made
You must:
- Keep the scanner insured
- Maintain it in good condition
- Not sell, lend, hire, pawn or dispose of it
- Return it if requested
Refusal to return may allow entry (peacefully and lawfully) for recovery.
7. Hot Swap & Support
Faulty scanners may be replaced under Hot Swap once returned.
Misuse or unauthorised modification is excluded.
We are not liable for manufacturer delays.
8. No Cooling-Off Period / No Cancellation Rights
Because the Membership includes:
- Immediate digital education access
- Subsidised hardware supplied under a fixed-term contract
There is no right to cancel once the scanner has been dispatched or access to course materials has been provided.
No refunds apply at any time.
9. Inspection & Acceptance
You must inspect the scanner within 7 days.
Defects must be reported within this period.
After 7 days, the scanner is deemed accepted.
10. Customer Obligations
You agree to:
- Use the scanner lawfully and professionally
- Follow manufacturer instructions
- Comply with GDPR/GDC obligations
- Maintain professional indemnity (if applicable)
11. Termination
We may terminate if:
- Payments are missed
- You breach these Terms
- You become insolvent/bankrupt
- You misuse or fail to return the scanner
Upon termination:
- Full remaining balance becomes due at once
- Scanner must be returned within 7 days
- Replacement charges may apply if it is not returned
12. Limitation of Liability
We are not liable for:
- Loss of business, income, or profit
- Clinical outcomes
- Data loss
- Manufacturer/third-party delays
- Indirect or consequential loss
Our liability is capped at the total fees paid.
Nothing limits liability for death, injury, or fraud.
13. No Assignment
Membership cannot be transferred or assigned.
14. Data Protection
Processed in accordance with GDPR.

15. Governing Law
These Terms are governed by English law.
Disputes fall under the exclusive jurisdiction of the courts of England and Wales.
16. Conference Access
One annual IDDA conference ticket is included.
Tickets do not roll over.
17. Entire Agreement
These Terms and the Membership Contract constitute the entire agreement.
18. PERSONAL GUARANTEE (LEGALLY BINDING)
If the Customer is a company, practice, partnership, or other organisation, the individual completing checkout (“the Signatory”) personally guarantees all payment obligations.
By accepting these Terms:
You (the Signatory) irrevocably and unconditionally guarantee:
- All payments due under the Contract, including the full 36-month term
- Any remaining balance if payments stop, become overdue, or the Membership is terminated
- All losses, costs, legal fees, and recovery expenses we incur in enforcing the Contract
- Return of the scanner when required, or payment of replacement cost if not returned
This guarantee is:
- Continuing (lasts until all payments are made)
- Unlimited as to duration
- Independent of the organisation’s performance
- Immediately enforceable upon default
You waive:
- Any right to require us to pursue the company first
- Any right to be released due to changes in company structure or staff
- Any right to delay enforcement
This is a full personal guarantee, equivalent to a signed deed, and is enforceable via MCOL, County Court, or High Court.
19. Digital Acceptance
By ticking the checkbox at checkout, you confirm that:
- You have read and agree to the full Scan Club Terms & Conditions
- You agree to the 36-month fixed-term Contract
- You accept the Personal Guarantee in Section 18
This digital acceptance constitutes your electronic signature, enforceable under
- Electronic Communications Act 2000
- eIDAS Regulation
- English contract law
You further acknowledge that:
Ticking the box has the same legal force as signing a paper contract.
